OpenWork Subscription Terms

These Subscription Terms (the "Terms") govern production use of the OpenWork software made available under the OpenWork Enterprise Edition (EE) License by Different AI, Inc. (d/b/a OpenWork Labs) ("OpenWork", "we"). By running the EE-licensed software in production under a subscription, the organization you represent ("Customer") agrees to these Terms.

1. Subscription

A subscription entitles Customer to run the EE-licensed software in production for up to the number of users purchased, on OpenWork Cloud or self-hosted, for the subscription term shown on the applicable order or checkout confirmation. Pricing is published at openworklabs.com/pricing.

2. Users

A "user" is any individual account able to access the deployed platform, excluding deactivated accounts. Customer will maintain accurate user counts and true up at renewal or on reasonable request, no more than quarterly.

3. Free entitlements

No subscription is required for: (a) production use by organizations with up to five (5) total users, excluding the Enterprise Features (Section 4); (b) internal evaluation for up to thirty (30) days from first deployment, at any user count, or such longer period as OpenWork agrees to in writing; and (c) development and testing use. These mirror the grants in the EE License.

4. Enterprise Features

"Enterprise Features" means the following capabilities of the EE-licensed software, however deployed: (a) single sign-on (SSO/SAML) and SCIM provisioning; (b) usage and adoption analytics; (c) desktop policies and version controls; (d) internal white-labeling (replacing OpenWork product names, logos, or accent branding with Customer's own for Customer's internal deployment); and (e) any other capabilities identified as Enterprise Features on the pricing page or in the documentation at the start of Customer's term.

Enterprise Features are included in the Enterprise plan, in evaluations under Section 3(b), and in pilots or trials where the applicable order says so. OpenWork may update this list prospectively; an update never removes a feature from Customer's then-current paid tier during a paid term.

5. What is included

During the term, Customer receives all updates, bug fixes, and security patches released for the subscribed tier, and the support included with the plan (Team: standard support; Enterprise: standard SLA support). Premium support tiers and add-ons, where purchased, are described on the applicable order.

6. Fees

Fees are as published on the pricing page or set out in the applicable order. Unless the order states otherwise, fees are invoiced per the plan's billing cycle and payable net thirty (30) days. There are no deployment fees. Fees exclude taxes.

7. Term and renewal

Subscriptions run monthly or annually per the order and renew automatically unless either party gives notice of non-renewal at least thirty (30) days before the end of the then-current term.

8. Restrictions

Customer will not resell, sublicense, or make the software available to third parties as a product or service, and will not remove copyright or license notices. An Enterprise plan permits white-labeling for Customer's internal use only; external distribution, managed service use, or resale under Customer's branding requires a separate written agreement. Software rights are governed by the EE License; where Customer and OpenWork have executed a separate written agreement (for example, a pilot agreement or enterprise order form), that agreement controls within its scope.

9. Warranty and liability

The software is provided as described in the EE License. OpenWork warrants that supported releases will materially conform to their documentation; Customer's exclusive remedy for breach is repair, replacement, or a refund of prepaid fees for the affected period. EXCEPT AS STATED ABOVE, THE SOFTWARE IS PROVIDED "AS IS", AND EACH PARTY'S AGGREGATE LIABILITY UNDER THESE TERMS IS LIMITED TO THE FEES PAID OR PAYABLE BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

10. Prior agreements

Customers on agreements executed before the date these Terms were first published retain the terms of those agreements.
